Introduction:
These Terms of Trade ("Terms") govern the provision of consulting services ("Services") by 1st Call WOF Consulting Auckland ("Consultant") to clients ("Client") within New Zealand.

Scope of Services: The Consultant agrees to provide Services as discussed and agreed with the Client. Any additional services or modifications must be mutually agreed upon.

Delivery and Timelines: Services commence on an agreed-upon date. Both parties shall set Service timelines and milestones. While the Consultant endeavours to meet deadlines, delays may occur due to factors beyond control.

Credit Card Security: All direct payment gateways offered by Wix.com and used by our company adhere to the standards set by PCI-DSS as managed by the PCI Security Standards Council, which is a joint effort of brands like Visa, MasterCard, American Express and Discover. PCI-DSS requirements help ensure the secure handling of credit card information by our store and its service providers. No credit card data is accessible to 1st Call WOF Consulting Auckland.

Confidentiality: Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement.

Governing Law and Dispute Resolution: Terms are governed by NZ laws, with disputes subject to NZ courts' exclusive jurisdiction.

Intellectual Property: Any intellectual property developed or provided by the Consultant during the provision of Services shall remain the property of the Consultant unless otherwise agreed upon in writing. The Client shall receive a limited licence solely for its internal business purposes only.

Fees and Payment: The Client is required to settle service fees within seven (7) days of date of invoice. In the case of online programmes, payment must be made upon enrolment. Payment must be in New Zealand Dollars (NZD). Failure to make payment may result in the Consultant involving a debt collection agency, with the Client responsible for associated costs, including but not limited to collection agency fees. Cancellation of services within 24 hours preceding scheduled appointment may incur a late cancellation fee.

Secured Creditor Clause: In the event of non-payment of invoices by the Client, 1st Call WOF Consulting Auckland reserves the right to assert secured creditor status. This allows 1st Call WOF Consulting Auckland to take appropriate legal action to recover outstanding debts owed by the Client. By engaging in business transactions with 1st Call WOF Consulting Auckland, the Client acknowledges and agrees to this provision.

Dispute Timeframes: Any disputes arising from the services provided by 1st Call WOF Consulting Auckland must be notified to 1st Call WOF Consulting Auckland within seven (7) days from the date of service completion. Failure to adhere to this timeframe may result in the forfeiture of dispute resolution options.

Risk Limitations of Advice and Services: While 1st Call WOF Consulting Auckland endeavours to provide accurate and reliable advice and services, it's important to understand that our guidance and services are provided without warranties or guarantees. 1st Call WOF Consulting Auckland shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of our advice or services. Clients engage our services with the understanding of these limitations and agree to assume any associated risks.

Privacy Compliance Clause: By engaging with 1st Call WOF Consulting Auckland, you agree to the collection, use, and disclosure of your personal information in line with The Privacy Act 2020. We may use this information for purposes such as, but not limited to, performing credit checks, sharing with third parties, accepting e-signatures and email acceptances, utilising information from email correspondence, and protecting and complying with online interactions. This includes further protection and compliance in using information received via our website, as well as adherence to our terms for customers contacting us through online and social media platforms.

Termination: Either party may terminate the agreement at any time. In the event of termination all outstanding debts owed shall become immediately payable. Termination shall not relieve any obligation accrued prior to termination, including but not limited to payment obligations.
